Overview of the working session.
On June 2, at the Third Session (special session) of the 17th Hanoi People's Council, delegates approved a Resolution adjusting administrative procedures in the field of business registration across Hanoi.
Under the Resolution, several documents will no longer be required to be submitted to business registration authorities when carrying out certain business registration procedures. These include the company charter; copies of meeting minutes on the establishment of branches or representative offices for procedures involving the establishment of domestic branches and representative offices; copies or original versions of members' council meeting minutes regarding charter capital changes; and the most recent financial statements available at the time of the decision to reduce charter capital in cases where a limited liability company with two or more members reduces its charter capital in accordance with the amended and supplemented Law on Enterprises.
The Resolution also shortens application processing times.
Accordingly, the following administrative procedures will be processed within two working days from the date a complete application is received: registration of sole proprietorships; registration of single-member limited liability companies; registration of multi-member limited liability companies; registration of joint-stock companies; and registration of partnerships.
Business registration procedures for companies established through division, separation, or merger; registration of branch and representative office operations; notifications of the establishment of business locations; and notifications regarding the establishment of branches and representative offices abroad will also be completed within two working days.
The following administrative procedures will have a processing time of four working days from the date a complete application is received: registration of the termination of branch, representative office, or business location operations; enterprise dissolution; and dissolution resulting from the revocation of an Enterprise Registration Certificate or pursuant to a court decision.
The Resolution is designed to simplify procedures by reducing required documentation and shortening processing times, thereby creating more favorable conditions for organizations and individuals carrying out business registration procedures.
